By clicking “Enable AI” to accept, you represent and warrant that: (a) you are authorized on behalf of your company to accept these Beta Terms on behalf of your company and all references to “you”, “your”, or “Customer” reference your company; and (b) you authorize Transcend to enable the Agentic Assist Beta (as defined herein) within Customer's Services environment.
These Agentic Assist Beta terms (the “Beta Terms”), together with the signed services agreement between the parties (the “MSA”) (collectively the “Agreement”) govern your use of the features and functionality provided within the Agentic Assist Beta. In the event of a conflict between these Beta Terms and the MSA, these Beta Terms will control. All capitalized terms not defined herein shall have the meaning attributed to them in the MSA.
These Beta Terms apply solely to Customer’s use of the Agentic Assist Beta.
For a period of time, subject to Transcend’s sole discretion, Transcend will make available on a trial basis an artificial intelligence agent within the Transcend platform that helps compliance teams complete recurring privacy operations tasks more efficiently by reasoning over the Customer's existing Transcend data inventory and product context, operating as an assistive layer, and generating recommendations and draft outputs for human review (the “Agentic Assist Beta”).
Customer’s participation in the Agentic Assist Beta is completely voluntary and optional, and there are no additional fees or charges required for participation.
This Agentic Assist Beta includes generative artificial intelligence with model inference performed through the OpenAI API. You acknowledge that the Agentic Assist Beta may produce inaccurate, incomplete, or unreliable outputs, which are provided for informational purposes only. You are solely responsible for (i) reviewing and validating any outputs before use and for any decisions or actions taken based on such outputs and (ii) implementing appropriate human oversight and controls over any outputs or actions generated by the Agentic Assist Beta.
Customer Data submitted to the Agentic Assist Beta will be processed in accordance with the Agreement and the applicable Data Processing Addendum (“DPA”) for the purpose of providing, supporting, and securing the Agentic Assist Beta. Transcend will not use Customer Data to train generalized machine learning models.
YOU ACKNOWLEDGE AND ACCEPT THAT THIS AGENTIC ASSIST BETA IS PROVIDED “AS-IS”, WITHOUT ANY REPRESENTATIONS, WARRANTIES, SUPPORT, MAINTENANCE, OR OTHER OBLIGATION OF ANY KIND FROM TRANSCEND AND THAT TRANSCEND’S LIABILITY FOR THIS AGENTIC ASSIST BETA WILL NOT EXCEED ONE THOUSAND U.S. DOLLARS ($1,000). Features and functionality within the Agentic Assist Beta is not generally available, has not completed final testing, and may contain errors, defects, or inaccuracies, and may be modified or discontinued at any time.
Transcend may terminate your access to, or use of the Agentic Assist Beta at any time by posting a notice on our websites, within our Services or by sending you an email. Termination may include deletion of Customer Data submitted to, or outputs generated by, the Agentic Assist Beta, subject to Transcend’s obligations under the Agreement. You may withdraw from the Agentic Assist Beta at any time by providing written notice to Transcend at legal@transcend.io (mailto:legal@transcend.io), and Transcend will disable the Agentic Assist Beta within a commercially reasonable period following receipt of such notice.
If Transcend elects to make any of the features or similar functionality of the Agentic Assist Beta generally available in the future, such features may be offered as paid Service.
SUBPROCESSOR DISCLOSURE
Pursuant to the Agreement, Transcend hereby notifies Customer that, in connection with the Agentic Assist Beta, the following entity will process Customer Personal Data as a subprocessor:

By accepting these Beta Terms, Customer acknowledges receipt of this subprocessor disclosure and consents to Transcend's engagement of OpenAI OpCo, LLC as a subprocessor for the processing activities described above. This consent is provided solely in connection with the Agentic Assist Beta.
This disclosure constitutes notice for purposes under the Agreement and Customer waives any applicable prior notification and objection period set forth in the Agreement solely with respect to this specific subprocessor engagement. If Customer objects to this subprocessor engagement on data protection grounds, Customer will not participate in the Agentic Assist Beta.
